1. Agreement
By creating an account or using Opafex (the "Service") you agree to these Terms, the Acceptable Use Policy, and the Privacy Policy. Business customers are also subject to the DPA. If you use the Service for an organisation, you confirm you have authority to bind it.
2. The Service
Opafex lets you build and run AI agents that automate business tasks using third-party AI models and the integrations you connect. The Service uses AI; outputs may be inaccurate or incomplete and must be reviewed before you rely on them, especially for consequential actions. Sensitive actions (e.g. sending messages, deleting data) are gated behind your approval.
3. Accounts and security
Keep your credentials secure and your contact details current. You are responsible for activity under your account and for the configuration of your agents and connected integrations.
4. Your content and responsibilities
You retain ownership of the content and data you input. You grant us a limited licence to process it to provide the Service. You are responsible for having the rights and lawful basis to use that data, for complying with the AUP, and for the actions your agents take. You must provide required privacy notices to individuals your agents contact or whose data you process.
5. Fees, billing and tax
Plans, entitlements, and usage-based charges are as described at checkout. We use Stripe for payments; we never store full card numbers. Fees are exclusive of VAT/sales tax, which we add where we are required to charge it. Usage-based charges (e.g. token top-ups) are billed as incurred. Unless stated, fees are non-refundable except as required by law (see §7).
6. BYOK, Private Mode, and third parties
You may supply your own AI provider keys (BYOK) and use Private Mode. When you connect a third-party integration, your use of it is governed by that third party's terms; we are not responsible for third-party services.
7. Cancellation and consumer rights (B2C)
If you are a consumer in the UK/EU, you have a statutory right to cancel within 14 days of subscribing for a refund, unless you ask us to begin the Service immediately and acknowledge you lose the cancellation right once it is fully performed; for partly-performed services we may charge for what you used. You can cancel at any time from account settings; cancellation takes effect at the end of the current billing period and stops future charges. We do not use cancellation dark patterns.
8. Suspension and termination
We may suspend or terminate for breach (especially AUP), non-payment, or legal requirement, with notice where practicable. You may close your account anytime; on closure we delete or anonymise your data per the Privacy Policy and Retention Schedule.
9. Warranties and liability
The Service is provided "as is" to the extent permitted by law. Nothing limits liability that cannot be limited by law (including, for consumers, statutory rights). Subject to that, our aggregate liability is limited to the fees you paid in the 12 months before the claim, and we are not liable for indirect or consequential loss.
10. AI output disclaimer
You are responsible for evaluating AI outputs. We do not warrant accuracy, fitness for a particular purpose, or that outputs are free of errors or do not infringe third-party rights.
11. Changes, governing law, disputes
We may update these Terms with notice; material changes take effect on the stated date. These Terms are governed by the laws of England & Wales and subject to the exclusive jurisdiction of the courts of England & Wales, without prejudice to mandatory consumer protections in your country of residence.
